1. Acceptance of Terms
By accessing or using EtoAI ("the Platform") at etoai.net, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using EtoAI on behalf of a clinic, practice, or organization, you represent that you have authority to bind that entity to these Terms. If you do not agree, do not use the Platform.
2. Description of Services
EtoAI is a clinical intelligence platform that provides:
• Patient record management and vault functionality.
• AI-powered clinical briefings, SOAP notes, and risk scoring.
• PDF ingestion and structured data extraction.
• EHR integrations with Athenahealth, Cerner, Epic, and others via FHIR R4.
• Visit recording and transcription.
• Medical imaging analysis.
• Appointment and worklist management.
EtoAI is a software tool for healthcare providers. It is not a medical device and does not provide medical diagnoses, treatment recommendations, or clinical advice.
3. Eligibility & Account Registration
You must be at least 18 years old and a licensed or authorized healthcare professional or administrative staff member to use EtoAI. You agree to:
• Provide accurate and complete registration information.
• Maintain the security of your password and account.
• Notify us immediately at hello@etoai.net of any unauthorized access.
• Accept responsibility for all activity under your account.
We reserve the right to refuse service or terminate accounts at our discretion.
4. HIPAA & Patient Data
You acknowledge that patient data entered into EtoAI constitutes Protected Health Information (PHI) under HIPAA. As a covered entity or business associate, you agree to:
• Use EtoAI only for authorized treatment, payment, or healthcare operations purposes.
• Not enter PHI for any patient without appropriate authorization.
• Maintain your own HIPAA compliance obligations as a covered entity.
• Execute a Business Associate Agreement (BAA) with us upon request (contact hello@etoai.net).
EtoAI provides a signed BAA with Google Cloud and implements technical safeguards as described in our Privacy Policy.
5. EHR Integrations
When you connect an EHR system (Athenahealth, Cerner, Epic, or others), you represent that:
• You are authorized to access the EHR data you sync to EtoAI.
• Your use of EHR-sourced data complies with your agreements with those EHR vendors.
• You will disconnect integrations promptly if your authorization to access that data changes.
EtoAI is not responsible for the accuracy, completeness, or availability of data sourced from third-party EHR systems.
6. AI-Generated Content
EtoAI uses artificial intelligence to generate clinical briefings, SOAP notes, risk scores, and other content. You acknowledge that:
• AI-generated content is for informational and workflow assistance purposes only.
• All clinical decisions remain the sole responsibility of the licensed clinician.
• AI outputs may contain errors and should be reviewed by qualified medical professionals before use.
• EtoAI makes no warranty that AI-generated content is accurate, complete, or appropriate for any specific clinical situation.
7. Subscription & Payment
EtoAI is offered on a subscription basis. By subscribing, you agree to:
• Pay all fees associated with your selected plan, billed monthly or annually.
• Provide accurate billing information and keep it current.
• Allow automatic renewal unless you cancel before the renewal date.
All payments are processed by Stripe. We do not store payment card information. Fees are non-refundable except as required by law or at our sole discretion. We reserve the right to change pricing with 30 days' notice.
8. Free Trial
We offer a 14-day free trial for new accounts. No payment information is required to start a trial. At the end of the trial period, you must subscribe to continue using the Platform. Trial accounts have full access to platform features. We reserve the right to modify or discontinue the trial offer at any time.
9. Acceptable Use
You agree not to:
• Use EtoAI for any unlawful purpose or in violation of HIPAA.
• Attempt to gain unauthorized access to other clinics' data.
• Reverse engineer, decompile, or attempt to extract source code from EtoAI.
• Use the Platform to transmit malware, spam, or harmful code.
• Resell, sublicense, or transfer your access to EtoAI without our written consent.
• Use AI-generated outputs as the sole basis for clinical decisions without professional review.
10. Intellectual Property
EtoAI and all related content, features, and functionality are owned by ETOAI LLC and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of all patient data and clinic content you input into the Platform. You grant us a limited, non-exclusive license to process that data solely to provide the services.
11. Termination
Either party may terminate this agreement at any time. You may cancel your subscription through your billing settings. We may suspend or terminate your access immediately if we determine you have violated these Terms, engaged in fraudulent activity, or created legal or compliance risk for EtoAI or our users. Upon termination, your data will be deleted within 30 days per our Privacy Policy.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETOAI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR CLINICAL HARM, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 3 MONTHS PRECEDING THE CLAIM.
13. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New Jersey, and you consent to personal jurisdiction in those courts.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or platform notice at least 30 days before the effective date. Your continued use of EtoAI after the effective date constitutes acceptance of the updated Terms.
